CIC MOBILE APP: TERMS AND CONDITIONS

1. ACCEPTANCE OF OUR TERMS AND CONDITIONS

Our Mobile Application (“CiC App”) is reserved solely for our members, being associate member or qualified member (herein after referred as to “you” or “your” or “user”. Each member is required to have one personal account on CiC App which is created by us. To use available services in CiC App (hereinafter referred to as “the Services”), you must activate its personal account given by us.

The terms constitute a legally binding agreement between us and you.

By activating, accessing or using any available services of CiC App, you agree that you have read, understood and accepted all of the terms ad conditions of CiC App Terms and Conditions (hereinafter referred to as “the Terms”) and our Privacy Policy. Some features of the Services are subject to additional specific terms and conditions. We may make change or modification of the Terms at our sole and absolute discretion without prior notice. The change or modification of these terms will be in effect on the date of the last revised version of these terms as shown in top right of the first page. Your continued use of CiC App is deemed as having read understand and accepted the change or modification of the Terms. If you wish not to accept the change or modification of the Terms, you must stop using CiC App by deactivating your personal account.

2. PROVIDED SERVICE

In CiC App, you can access to the and other available information as following: accessing to CiC Members directory, CiC performance report, CiC Knowledge and publication, and other relevant services as added and/or developed by CiC from time to time. Moreover, CiC App is a platform where you may also file request for subscribing or selling or buying the unit trust of CiC Fixed Income Fund or CiC Equity Fund, receive coupon or principal payment for your investment in CiC Fixed Income Fund, share bonus and request for cash out or settlement of subscription price or transfer price with your available balance in your personal account. We will examine the request from time to time on the platform and where all the conditions are met, we will proceed the allotment or transfer of unit trust or cash out offline.

We, as owner and administrator of our CiC App and the platform thereof, reserve the rights for discretionary management of the main menu as well as the structure of CiC App and platform.

3. REQUIREMENTS FOR THE USE OF CiC App

We will collect and you are required to provide us with  your personal data following our Privacy Policy, including but not limited to phone number, name, unit trust subscription, email, personal and corporate address, gender, contact, occupation, social media account (if any) and other relevant data.Your Personal data will be used solely for creating and activating your personal account, when examining your request for subscription or sell or buy of unit trust and other services.

By activating your personal account, you must create a password or any other authentication information as part of our security procedures. You must treat such information as confidential and personal. You must not disclose it to anyone else and must take appropriate steps to keep your information secure by not using an obvious password and ensuring that you keep your password confidential and change it regularly. If you know or suspect that anyone other than you, knows your password or any other authentication information, you should promptly notify us using the contact details provided in the App. You are entirely responsible for all activities that occur through use of your password. We are not responsible for any losses or liabilities arising out of or in connection with any unauthorized use of the CiC App.

4. USER PERMISSION

For security, maintenance or investigation purpose, we must be entitled to, including but not limited to, access to your personal account, profile, and relevant and appropriate access.

You agree to give us consent to notify you or send you message about any update of our service that may affect and/or benefit your interest, including but not limited to the update of the Terms, the update of the Privacy Policy, introduction of our new service, alert of unusual log in of your personal account, and other relevant notification/message.

In CiC App, you may manage to keep your personal account private or public. In the earlier case, your personal data will not be shown in the search engine, be viewed by other users. In the latter case, your profile may be viewed by other users. This privacy setting of your profile must be done in the manner as instructed in the Platform.

We are entitled to remove temporary or definitively personal account without prior notice, and without prejudice to our rights of claims and/or to compensation: (1) which uses inappropriate name, which is not your true name, or name of celebrity or public figure or political figure, as profile name. (2) where your provided personal data is not true and accurate; should there be any issue with public order, morality or infringement or other legal issue.

5. INTELLECTUAL PROPERTY AND PROPRIETARY

This CiC App, Platform and their contents are the sole proprietaries of CiC. The use of CiC App, Platform and their contents must be in accordance with the Terms.

The use of the contents on our Platform by you must be a personal and non-commercial use. You agree to give us consent not to communicate these contents to a third-party in any form or purpose or the make use of such contents in whole or in part for any purpose or cause, except those as explicitly authorized hereunder.

6 . LIMIT OF LIABILITY

We do not warrant that our CiC App and Platform will be available to have access anytime or from any location. We will try our best to provide you with good experience and up to date of our CiC App. Should there be any difficulties to access and/or use our CiC App and Platform, please feel free to reach us via the help center.

We do not warrant the accuracy of the contents in CiC App and Platform. Our report and other publications in CiC App and Platform are solely for information purposes and do not constitute the recommendations or advice to purchase or withdraw the unit trust. In case you seek for any professional recommendations or advice, you are advised to consult with experts in relevant fields. Notwithstanding the foregoing, our intellectual property rights on the contents thereof shall fully be protected.

You must be solely responsible if there is the demonstration of your failure to follow the Terms and our Privacy Policy and in case, such failure causes damages to other users or third-party. Any malicious action and/or attempt regarding the use, or undertaking under any form, of our Platform/CiC App shall expose the offender to full legal responsibility, both civil and criminal.

The use CiC App or your personal account must be personal use by member who own that account. Your provision of access or password of your personal account constitutes a violation of the Terms. Any damage caused by this action is your sole responsibility. We are not in any case responsible for any damage caused to you or other users or third party by this action.

7. ACCOUNT SUSPENSION

If we find that you violate the Terms and our Privacy Policy, we will send you first notice to alert such violation.

In case there is a second violation of the Terms and our Privacy Policy within a month, counting from the first notice of violation, we reserve the right to suspend the account in question temporarily. In such a case, we will send you notification of temporary suspension of your account.

If there are 3 (three) consecutive violations of the Terms within 3 (three) months, we reserve the right to suspend your personal account permanently without prior notice to you.

Notwithstanding the above provision, in case of your serious misconduct or other serious dysfunctions of account that may results from the cyberattack, we reserve the rights to suspend immediately personal account without prior notice. We also reserve the rights to take other measures which are appropriate and in compliance with applicable law and regulation and the Terms.

We reserve the rights to transfer the CiC App and Platform management to the third-party that we deem fit, provided that our Terms and Conditions and Privacy Policy are still applicable. With this regard, the third-party may suspend your personal account in above hypothesis of violation.

8. DISPUTE RESOLUTION

The Terms must be governed by and construed with the Law of the Kingdom of Cambodia.

 

In case any disputes are arising between us and you with respect to the Terms and our Privacy Policy, you agree to resolve those disputes amiably prior to filing the complaint before the competent authority. The competent authority is the competent jurisdiction of the Kingdom of Cambodia.
